Terms of Service

By creating an account or using Bonclay (the "Service"), you agree to these Terms and to our Privacy Policy, Refund Policy, and Acceptable Use Policy, which are incorporated by reference. If you use the Service on behalf of an organization, you confirm you are authorized to bind it to these Terms.

You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law.

You are responsible for keeping your login credentials secure and for all activity under your account. Provide accurate information and notify us promptly of any unauthorized use.

Bonclay provides tools to generate and transform video and images, including changing the identity, character, or look within existing footage while preserving the underlying performance. Features, limits, and available workflows may vary by plan and may change over time.

Paid plans are billed in advance on a recurring basis at the price shown at checkout. Payments are processed by third-party payment providers. You authorize us and our payment providers to charge your selected payment method for all applicable fees.

Generations consume Video Credits or AI Image allowances as described on our Pricing page. The credit cost of a generation is shown before you start it.

• Credits have no cash value, are not transferable, and cannot be exchanged for money except where required by law.
• Monthly subscription credits reset or roll over according to your plan's rollover rules.
• Top-up credits are one-time purchases valid for 90 days unless applicable law requires otherwise.
• Regenerations for a different creative result consume credits normally.
• Credits reserved for a generation that fails due to a system or provider error before a usable result is delivered will be released.

We may adjust credit rates, rollover, or expiry rules prospectively with notice, subject to applicable law. Previously purchased credits follow the terms presented at purchase where legally required.

Subscriptions renew automatically at the end of each billing period until canceled. You may cancel future renewal at any time; cancellation takes effect at the end of the current paid period. Refunds are governed by our Refund Policy.

Prices may exclude applicable taxes. You are responsible for any sales, use, value-added, or similar taxes associated with your purchases, except taxes based on our income.

You retain the rights you hold in videos, images, audio, prompts, and other material you upload ("User Content"). You grant us a limited, worldwide, non-exclusive license to host, process, and transform User Content solely to operate, secure, and improve the Service and to provide outputs to you.

You are solely responsible for having all rights, licenses, and permissions necessary to upload User Content and to use any image, voice, likeness, performance, brand asset, trademark, or other protected material it contains, and for the way you use outputs.

Where required by law, you must obtain the consent of any identifiable person whose image, voice, likeness, or performance is used as source material or as a target identity. You may not use the Service to:

• impersonate a person in a way intended to deceive or defraud;
• commit identity theft or facilitate scams;
• create non-consensual sexual or intimate content of any person;
• harass, threaten, or exploit any person;
• create misleading political or public-interest impersonations;
• engage in any other unlawful use.

Outputs are generated by automated systems and may be inaccurate, unexpected, or similar to outputs produced for others. You are responsible for reviewing outputs before use and for providing any disclosures required by law or platform rules. As between you and us, and subject to applicable law and third-party terms, we assign to you any rights we hold in outputs you generate. Legal protection for AI-generated material varies by jurisdiction, and we do not guarantee that outputs are protectable.

You must comply with our Acceptable Use & Identity Safety Policy. You may not attempt to bypass safeguards, reverse engineer the Service, scrape it, or use it to build a competing product.

The Service, including its software, design, and branding, is owned by Bonclay and its licensors and is protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

Paid plans include commercial use of outputs, subject to these Terms, applicable law, third-party terms, and your having the necessary rights in the source material and any likeness used.

The Service relies on third-party infrastructure, AI, and payment providers. Their availability and terms may affect features. We are not responsible for third-party services outside our reasonable control.

We aim to keep the Service available but do not guarantee uninterrupted operation. Features labeled beta, preview, or "coming soon" are provided as-is, may change, and may be withdrawn.

To the maximum extent permitted by law, the Service and outputs are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Bonclay will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless Bonclay from claims arising from your User Content, your use of outputs, or your violation of these Terms or the rights of others, to the extent permitted by law.

We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or where required by law. You may stop using the Service at any time. Sections that by nature should survive termination will survive.

We may update the Service and these Terms. For material changes we will provide reasonable notice. Continued use after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of [Governing jurisdiction to be confirmed], without regard to conflict-of-law rules, except where mandatory consumer protection laws of your place of residence apply.
